1. Acceptance of Terms

By accessing, browsing, or using the websites, software portals, and digital services operated by Garlic Collective (“we,” “our,” or “us”), you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you possess the authority to bind that entity to these covenants. If you do not agree with any part of these terms, you must discontinue your use of our platforms and services immediately.

2. Scope of Services

Garlic Collective designs, builds, and maintains custom digital architectures, bespoke web platforms, workflow automations, and targeted marketing frameworks for modern business teams. Our capabilities include:

  • Bespoke Digital Platforms: High-performance web applications, responsive websites, and custom front-end systems.
  • Custom CRM & Data Integrations: Dedicated customer relationship pipelines, database synchronization, and multi-channel messaging bridges.
  • Workflow Automations: Eliminating manual data entry through custom software bridges, inventory sync, and automated billing routines.
  • Social Media & Growth Retainers: Brand design systems, targeted creative campaigns, and content management.
  • Technical Consultancy: Direct engineering advisory on technology choices, system scaling, and cloud architecture.

3. Pricing Estimator & Statements of Work

Our interactive scope calculator provides real-time budget estimates based on the modular selections made within our portal. While we maintain close alignment between calculated estimates and production costs, these estimates represent qualified projections and do not constitute a binding delivery contract.

Project commitments, milestones, technical deliverables, and delivery schedules become binding once detailed within a dedicated Statement of Work (SOW) or Master Services Agreement executed by both parties.

4. Intellectual Property & Ownership

We adhere to a straightforward ownership framework:

  • Client Ownership: All proprietary business data, customer records, brand assets, trade secrets, and bespoke software configurations created exclusively for the client vest entirely with the client upon receipt of full payment.
  • Garlic Collective Core IP: Pre-existing libraries, foundational software utilities, deployment scripts, design tokens, and pricing algorithms remain the proprietary property of Garlic Collective. Clients receive a perpetual, non-exclusive, royalty-free license to use these components within their delivered platform.

5. Invoicing & Payment Terms

Unless specified otherwise in a signed Statement of Work, custom development projects adhere to standard milestone billing:

  • 40% Deposit: Due upon project kickoff and agreement signing.
  • 40% Milestone: Due upon staging environment completion and feature review.
  • 20% Launch: Due prior to final production deployment and repository transfer.

Invoices are payable within 14 calendar days of issue. Recurring retainers are billed on the 1st of each calendar month.

6. Client Responsibilities

Successful delivery depends on timely collaboration. Clients agree to provide required approvals and feedback within reasonable timeframes, furnish necessary third-party API keys or domain access, and maintain the confidentiality of any client portal credentials.

7. Service Levels & 30-Day Warranty

Custom systems engineered by Garlic Collective include a complimentary 30-day post-launch warranty period commencing on the day of production deployment. During this window, we promptly remediate any reproducible bugs, broken layout regressions, or functional errors conflicting with agreed specifications at no added cost.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of profits, revenue, or operational interruption). Garlic Collective’s aggregate liability for all claims arising out of any engagement shall not exceed the total fees paid by the client under the applicable Statement of Work in the twelve months preceding the claim.

9. Termination & Handover

Either party may terminate an active agreement with thirty (30) days written notice, or immediately in the event of an uncured material breach. Upon termination, the client shall pay for work completed to date. Upon settlement of balances, Garlic Collective will coordinate an orderly handover of code repositories, database snapshots, and production credentials.

10. Governing Law & Contact

These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which Garlic Collective operates, without regard to conflict of law principles.
